🗒️Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the Duels platform (“Duels” or the “Platform”), an experimental service operated by Creative Layer Inc. (“we,” “us,” or “our”). By accessing or using the Platform, you agree to be bound by these Terms.
1. Overview
Duels is an experimental onchain game operated by Creative Layer Inc. in which digital artworks are presented in 24-hour matchups (“duels”). Users participate by purchasing creator-issued tokens using USDC. At the end of each duel, the artwork whose associated token receives the most demand during the designated period is declared the winner and advances in a publicly viewable bracket.
Duels is designed as a contest of popularity and engagement. No prize pools, payouts, or financial distributions are awarded to users based on duel outcomes. Participation does not entitle users to any monetary compensation or rights in the Platform, its revenues, or underlying content.
Creative Layer Inc. retains sole discretion over the design, operation, and evolution of the Platform. This includes the authority to modify duel mechanics, token behavior, or platform features at any time. Participation in Duels does not create any agency, partnership, or joint venture between you and Creative Layer Inc.
2. Eligibility
You must be at least eighteen (18) years of age to use the Platform. By using the Platform, you represent and warrant that you meet this age requirement and are not subject to any restrictions under applicable local laws or sanctions regimes.
3. Wallets & Access
Access to the Platform is provided through your Farcaster account, which includes a non-custodial wallet enabled by the Farcaster protocol (including, without limitation, via Farcaster Frames or Signer infrastructure). This wallet may be used to store and transact in USDC and ContentCoins.
You acknowledge and agree that Creative Layer Inc. does not control, store, access, or recover your private keys, wallet contents, Farcaster credentials, or any transactions you initiate through the Platform. You are solely responsible for securing your wallet, maintaining the confidentiality of your private keys and credentials, and ensuring that your access methods are protected against unauthorized use.
Creative Layer Inc. shall not be liable for any loss or damage arising from your failure to maintain adequate security over your wallet or Farcaster account. We are not responsible for any unauthorized access to your wallet, loss of access credentials, or losses resulting from smart contract vulnerabilities, user error, or third-party services.
You further acknowledge that access to the Platform is not guaranteed and may be restricted, suspended, or revoked at any time at Creative Layer’s sole discretion, including in response to suspected violations of these Terms, law enforcement requests, or Platform security needs.
4. User Content
You retain full ownership of any content you upload, submit, or create in connection with your use of the Platform (“User Content”). By submitting User Content, you grant Creative Layer Inc. a non-exclusive, worldwide, royalty-free license to use, reproduce, display, distribute, and adapt such content solely as necessary to operate, promote, and improve the Platform and its related services.
This license is limited to purposes directly connected to the functionality, visibility, and growth of the Platform. We will not sell your content or use it in unrelated commercial contexts without your explicit permission.
You represent and warrant that you have all rights, licenses, and authority necessary to upload and share your User Content and to grant the rights described in this Section. You further represent that your User Content does not infringe or violate any third-party intellectual property, privacy, publicity, or contractual rights, and that it complies with all applicable laws.
Creative Layer Inc. is not responsible for the accuracy, legality, or appropriateness of User Content submitted by users. We reserve the right, at our sole discretion, to reject, remove, restrict, or disable access to any User Content at any time, for any reason or no reason, with or without notice. This includes, without limitation, content that we believe violates these Terms or any applicable law; is hateful, discriminatory, harassing, defamatory, or obscene; promotes violence, illegal activity, or self-harm; infringes or is suspected of infringing upon the intellectual property or other rights of any person or entity; or poses a risk to the safety, reputation, or legal standing of the Platform or its users.
5. Platform Tokens & No Value Guarantee
You may earn or purchase tokens referred to as “ContentCoins,” which are associated with specific artworks on the Platform. These tokens:
Do not represent any ownership interest, equity, or financial stake in Duels or Creative Layer Inc.;
Have no guaranteed or inherent monetary value;
Are not investment products and shall not be construed or treated as such;
May be used in Platform features such as duels, rankings, or governance (if applicable);
Are issued through a bonding-curve mechanism under which the purchase price increases as more tokens are acquired; and
May be bought or sold through decentralized exchanges (e.g., Uniswap); however, Creative Layer does not guarantee the availability of liquidity or the functionality of any external market.
6. Token Fees and Liquidity
A transaction fee may apply to token-related activity on the Platform. A portion of this fee may be allocated to creators and to support Platform operations. Token liquidity may be facilitated through Platform mechanisms at our discretion. We do not guarantee secondary market access, exchange functionality, or external liquidity.
7. Prohibited Conduct
You agree not to engage in any activity that, in our sole judgment, constitutes abuse of the Platform or its community, including but not limited to: cheating, manipulation, interference with Platform functionality, violation of applicable laws or regulations, or deceptive or misleading behavior.
Creative Layer Inc. reserves the right, at its sole discretion and without prior notice, to restrict, suspend, or permanently terminate your access to the Platform or any portion thereof, and to take any technical or legal measures it deems necessary or appropriate to enforce these Terms, preserve Platform integrity, protect other users, or comply with applicable laws. This includes, without limitation, the right to freeze, restrict, or nullify access to ContentCoins obtained or used in violation of these Terms.
We further reserve the right to investigate and pursue legal remedies against any conduct that we reasonably believe violates the letter or spirit of these Terms or threatens the security, functionality, or reputation of the Platform.
8. Changes to the Platform
You acknowledge and agree that the Duels Platform is experimental and subject to continuous development, iteration, and modification. Creative Layer Inc. reserves the right, at any time and in its sole discretion, to modify, suspend, discontinue, or restrict any aspect, feature, functionality, or content of the Platform, including the availability of ContentCoins, participation mechanics, or user access.
Such changes may be implemented with or without prior notice and may affect how you access or use the Platform, how tokens function, or whether particular services remain available. Creative Layer shall not be liable to you or any third party for any modification, suspension, or termination of the Platform or any part thereof.
We may also impose limitations on certain features or restrict your access to parts or all of the Platform at our sole discretion, and without liability or obligation to provide notice or explanation.
9. Disclaimers
The Platform, including all services, content, features, and tokens, is provided on an “as is” and “as available” basis without any representations, warranties, or conditions of any kind, whether express, implied, or statutory. Without limiting the foregoing, Creative Layer Inc. expressly disclaims all warranties of merchantability, fitness for a particular purpose, title, non-infringement, uninterrupted operation, or that the Platform will be secure, error-free, or meet your expectations.
You acknowledge and agree that your use of blockchain technologies, including USDC, NFTs, and ContentCoins, involves significant risk, including loss of funds, technical malfunctions, regulatory uncertainty, and potential exploits of smart contracts or third-party protocols. You assume full responsibility for your use of the Platform and all associated risks.
Creative Layer Inc. does not provide financial, legal, or tax advice. You are solely responsible for determining whether your use of the Platform complies with applicable laws and regulations in your jurisdiction.
Duels tokens are not securities, gambling products, or derivatives. They are collectibles tied solely to user participation and popularity. No USDC is redistributed based on duel outcomes, and no financial return or economic benefit is promised, implied, or guaranteed.
To the fullest extent permitted by applicable law, no information, statement, or interaction on the Platform shall be interpreted as creating any fiduciary or advisory relationship between you and Creative Layer Inc.
10. Governing Law
These Terms shall be governed by the laws of Ontario, Canada. Disputes may be resolved through arbitration. By using the Platform, you waive any right to participate in class action proceedings.
